1. (b) ضم شدہ کمپنی کے ذریعے انضمام کے منصوبے میں ضم شدہ کمپنی میں، اور ضم شدہ کمپنی ایک ہندوستانی کمپنی ہے،

1. (b) by the amalgamating company to the amalgamated company in a scheme of amalgamation, and the amalgamated company is an indian company,

2. (vi) انضمام کے منصوبے کے تحت، ضم کرنے والی کمپنی کی طرف سے مقررہ اثاثوں کی ضم کرنے والی کمپنی کو کوئی منتقلی اگر ضم کرنے والی کمپنی ہندوستانی کمپنی ہے؛

2. (vi) any transfer, in a scheme of amalgamation, of a capital asset by the amalgamating company to the amalgamated company if the amalgamated company is an indian company;

3. (2) "فروخت" میں تبادلے کے ذریعے منتقلی یا اس وقت نافذ کسی بھی قانون کے تحت لازمی حصول شامل ہے، لیکن اس میں انضمام کے منصوبے میں، کمپنی کے ذریعہ کسی بھی اثاثوں کی منتقلی شامل نہیں ہے جو انضمام شدہ کمپنی میں ضم ہوتی ہے۔ جب ضم شدہ کمپنی ایک ہندوستانی کمپنی ہے۔

(2)“sold” includes a transfer by way of exchange or a compulsory acquisition under any law for the time being in force but does not include a transfer, in a scheme of amalgamation, of any asset by the amalgamating company to the amalgamated company where the amalgamated company is an indian company.

4. (3) جہاں نیا اثاثہ فروخت کیا جاتا ہے یا دوسری صورت میں انضمام یا تقسیم کے حصے کے طور پر اس کی تنصیب کی تاریخ سے پانچ سالوں کے اندر منتقل کیا جاتا ہے، پیراگراف (2) کی دفعات کمپنی کے ضم شدہ کمپنی یا نتیجے میں آنے والی کمپنی پر لاگو ہوں گی، جیسا کہ معاملہ ہو سکتا ہے، جیسا کہ انضمام کرنے والی کمپنی یا اسپن آف کمپنی پر لاگو ہوتا ہے۔

4. (3) where the new asset is sold or otherwise transferred in connection with the amalgamation or demerger within a period of five years from the date of its installation, the provisions of sub-section(2) shall apply to the amalgamated company or the resulting company, as the case may be, as they would have applied to the amalgamating company or the demerged company.
