1. (बी) विलय की गई कंपनी द्वारा विलय की योजना में विलय की गई कंपनी द्वारा, और विलय की गई कंपनी एक भारतीय कंपनी है,

1. (b) by the amalgamating company to the amalgamated company in a scheme of amalgamation, and the amalgamated company is an indian company,

2. (vi) विलय की योजना के तहत विलय करने वाली कंपनी द्वारा विलय करने वाली कंपनी को अचल संपत्तियों का कोई हस्तांतरण, यदि विलय करने वाली कंपनी एक भारतीय कंपनी है;

2. (vi) any transfer, in a scheme of amalgamation, of a capital asset by the amalgamating company to the amalgamated company if the amalgamated company is an indian company;

3. (2) "बेचा" में उस समय लागू किसी भी कानून के तहत विनिमय या अनिवार्य अधिग्रहण के माध्यम से स्थानांतरण शामिल है, लेकिन विलय की योजना में कंपनी द्वारा विलय की गई कंपनी में विलय की गई किसी भी संपत्ति का हस्तांतरण शामिल नहीं है। जब मर्ज की गई कंपनी एक भारतीय कंपनी है।

3. (2)“sold” includes a transfer by way of exchange or a compulsory acquisition under any law for the time being in force but does not include a transfer, in a scheme of amalgamation, of any asset by the amalgamating company to the amalgamated company where the amalgamated company is an indian company.

4. (3) जहां नई संपत्ति को उसकी स्थापना की तारीख से पांच साल के भीतर विलय या विभाजन के हिस्से के रूप में बेचा या अन्यथा स्थानांतरित किया जाता है, पैराग्राफ (2) के प्रावधान कंपनी समामेलित कंपनी या परिणामी कंपनी पर लागू होंगे, जैसा कि मामला हो सकता है, जैसा कि समामेलन कंपनी या स्पिन-ऑफ कंपनी पर लागू होता।

4. (3) where the new asset is sold or otherwise transferred in connection with the amalgamation or demerger within a period of five years from the date of its installation, the provisions of sub-section(2) shall apply to the amalgamated company or the resulting company, as the case may be, as they would have applied to the amalgamating company or the demerged company.
